New Release Also Readies Developers with New Java Development Kit 

SANTA CRUZ, CA (May 6, 1997) - Continuing to supply its millions of
customers with products that support the Internet Way of Computing, SCO
(NASDAQ:SCOC), the world's leading supplier of UNIX server systems, today
unveiled SCO OpenServer Release 5.0.4, the latest release of the world's
most popular, commercial UNIX operating system for Intel platforms. 

Originally code-named "Comet," this new release features Microsoft
compatible file and print services from SCO OpenServer systems to Windows
PCs, a fully integrated Web server and set of authoring tools from Netscape
Communications Corporation, leading network connectivity technologies, and
a complete Java development environment.

The SCO OpenServer system is an industry-renown, robust application server,
running thousands of business-critical applications for thousands of
businesses around the world. Now businesses of all sizes can benefit from
the proven reliability and performance of the SCO OpenServer system to

File and Print, and More
The new release of SCO OpenServer includes SCO VisionFS, providing file and
print services from SCO servers to Windows PCs in small and large
enterprise environments. This added feature expands SCO's presence in the
file and print market, and extends their commitment to deliver seamless
integration between Windows clients and UNIX servers. SCO VisionFS also
allows users to access files transparently across the Internet from their
Web browser. Using the CIFS (Common Internet File System), users can browse
remote workgroups across the Internet as if they were local. SCO TermLite
has also been added to SCO OpenServer 5.0.4, allowing access to traditional
character based UNIX applications in a Windows environment.

This latest release also includes a series of integrated supplements and
updates with support for up to 4Gbytes of memory, 8Gbyte IDE hard drives,
and a number of new network, video and storage adapters.

Fully Optimized for Internet Computing
SCO first equipped its state-of-the-art UNIX Systems for Internet computing
in 1993, with the NCSA Web server and the Mosaic browser, adding to the
already resident TCP/IP networking capability that has long been a staple
of SCO UNIX Systems. With this new release, SCO has tightly integrated the
industry's leading Internet technologies with the base SCO OpenServer
system. New components include:
- Netscape FastTrack Server Software - Netscape's award-winning Web server
with SSL 3.0 security standard, ideal for creating and managing

- Netscape Navigator Gold 3.0 - client software with integrated Web

100% Java Development
In a related announcement today, SCO unveiled its plan to include its JDK
1.1 in every copy of SCO OpenServer Release 5.0.4. Complementing the C and
C++ compilers in the SCO OpenServer Development System, developers can now
create graphically rich, native Java applications for the SCO OpenServer
platform, and update existing applications with a Java interface, making
them universally available via a Web browser.

SCO OpenServer Release 5.0.4 is scheduled to ship at the end of this month,
and is priced as follows: the Enterprise System, which includes a 5-user
license for all components, is $1,395; the Internet FastStart System, which
includes a 1-user license for all components, is $895; the Desktop System,
which includes Netscape Navigator 3.0 and SCO PPP, is $795; the Host
System, which does not include the enhanced Internet components, file and

2.  DESCRIPTION

SCO OpenServer Release 5 is a family of products designed to provide
cost-effective, multi-functional and highly reliable server platforms which
meet the business-critical server needs of small businesses, departmental
workgroups, replicated client-server environments and large enterprise
systems.

3.  CONFIGURATIONS

The SCO OpenServer product family consists of four operating system
configurations, with optional layered products, which allow organizations
to choose the solution that best meets their price-performance and
functional needs. SCO OpenServer product comes in three server
configurations and a single-user desktop configuration.

The SCO OpenServer Host System is an advanced operating system for low-cost
multi-user, host-based character terminal computing environments. It
contains all graphical administration, and filesystem reliability features,
but does not include networking features.

The SCO OpenServer Enterprise System is an exceptionally high-quality
operating system providing business critical application services. The SCO
OpenServer Enterprise System includes all of the  functionality found in
the SCO OpenServer Host System, plus a robust set of networking
capabilities: Internet and Intranet services and file, print and terminal
emulation services for Windows. The SCO OpenServer Enterprise Systems
includes multithreaded TCP/IP and NFS, the Netscape FastTrack Server 2.0,
Netscape Navigator Gold 3.0, the SCO Internet Manager, SCO PPP from Morning
Star, SCO VisionFS, the SCO Advanced File and Print Server, the SCO
Internet to Netware Gateway, the Microsoft LAN Manager client, and the
ability to perform network installations.

The SCO OpenServer Desktop System is an advanced, single-user operating
system for business critical computing and developer workstations which
includes most of the features found in the SCO   OpenServer Enterprise
System, including graphics and full TCP/IP and NFS networking, Netscape
Navigator 3.0, and SCO PPP from Morning Star. The SCO OpenServer Desktop
System does not include support for multiple users and some server
features, such as the Netscape FastTrack Server 2.0, SCO Internet Manager,
SCO VisionFS, nor the SCO Advanced File and Print Server.

The SCO OpenServer Internet FastStart System is a world-class web server
which includes the Netscape FastTrack Server 2.0, Netscape Navigator Gold
3.0, the SCO Internet Manager, SCO PPP from Morning Star, SCO VisionFS, the
SCO Advanced File and Print Server, the SCO Internet to Netware Gateway,
the Microsoft LAN Manager client, and the ability to perform network
installations. It includes everything needed to quickly get up and running
on the Internet/intranet, and can be used for web posting of corporate
information, ISP web-hosting, and Internet commerce.

4.  AVAILABILITY

First customer shipments of Release 5.0.4 of the SCO OpenServer Desktop
System, SCO OpenServer Host System, SCO OpenServer Enterprise System, SCO
OpenServer Internet FastStart System, SCO OpenServer Release 5.0.4 Media
Kits, and the Release 5.0.4 Upgrades are anticipated to begin on June 1st,
1997.

6.  UPGRADES

In-place upgrades from previous versions of SCO OpenServer Release 5 are
available and require an upgrade license and SCO OpenServer Release 5.0.4
Media Kit.

Trade-In licenses from previous versions of SCO Open Desktop, the SCO UNIX
System, the SCO Open Server Network System, the SCO Open Server Enterprise
System, or SCO XENIX are available. These upgrades require a new
installation of the product.

Upgrade licenses for SCO Internet FastStart Release 1.0 and 1.1 are
available. Because additional users cannot be added to Release 5.0.4 of the
new SCO OpenServer Internet FastStart System, previous SCO Internet
FastStart customers may order a complimentary SCO OpenServer Enterprise
Release 5.0.4 five-user system license. This complimentary upgrade license
requires a new installation of the product.  North American customers may
optionally order a supplemental 128-bit strong encryption license.

Additionally, upgrades from the SCO OpenServer Host System Release 5 to the
SCO OpenServer Enterprise System Release 5 are available to enable users to
easily and cost effectively add networking to their systems if requirements
change.

Upgrades from the SCO OpenServer Desktop System Release 5 and the SCO
OpenServer Internet FastStart System Release 5 to the SCO OpenServer
Enterprise System Release 5 are also available to change a single-user
system into a server system supporting multiple users. Separate upgrades
are similarly available to move from single-user to multi-user SCO Merge
product. Each of these upgrades comprise a single license which can be used
to load and activate software from the CD-ROM.  Upgrades from old products
are also available.


7.  NEW IN THIS RELEASE

SCO OpenServer Release 5.0.4 provides the following new features:

* In-place upgrade capability for customers with SCO OpenServer Releases
5.0.0 and 5.0.2.

* Optimized for Internet Computing by including in the SCO OpenServer
Enterprise System and the SCO OpenServer Internet FastStart System the
Netscape FastTrack Server 2.0, Netscape Navigator Gold 3.0, the SCO
Internet Manager, and SCO PPP from Morning Star. Netscape Navigator 3.0 and
SCO PPP from Morning Star have also been included now in the SCO OpenServer
Desktop product. A one-user Netscape Navigator license is provided.

* Now included with the SCO OpenServer Enterprise System and the SCO
OpenServer Internet FastStart System, SCO VisionFS provides basic shared
file and print services for connecting Microsoft Windows systems. SCO
VisionFS supports the native Microsoft network protocols, so no added
software is required on client systems.  Also now included on the Release
5.0.4 CD-ROM is SCO TermLite. SCO TermLite is a 16-bit terminal emulation
program which installs on Microsoft Windows systems and supports SCO ANSI
and VT320 over TCP/IP and NetBEUI networks.

* The Java Development Kit (JDK) Release 1.1 is now included. The JDK
includes the runtime Java Virtual Machine and Java classes. In addition,
the development components of the JDK (compiler, debugger, and other tools)
are also provided on the JDK CD-ROM.

* Improved EIDE CD-ROM installation capabilities are provided through
predefined server configurations to enable easy installation and optimum
performance for commonly used system setups.

* Hardware support for up to 4 Gigabytes of system memory and IDE disk
sizes of up to 8 Gigabytes. 32-bit BIOS PCI system support and improved CPU
recognition support. Compliance with the Intel Version 1.4 Multi-Processor
Specification.

* The AHS (Advanced Hardware Support) 5.2 supplement is now integrated into
Release 5.0.4. A complete listing of new and updated cards and devices can
be found under NOTES. Also provided is new support for the following vendors:

* Network Adapter Cards - including new support for 3Com, DEC, HP, IBM,
Intel and SMC adapters.

* Video Adapter Cards - including new chip set support for Chips &
Technologies and Cirus Logic.

* Mass storage - support for Adaptec, Buslogic, Compaq, Conner/Seagate,
DPT, Mylex and Symbios Logic.

* Serial Port enhancements that include easy-to-use managers for
configuring serial ports, modems and PPP connections. Over 1000 types of
modems can now be selected by name and model number for installation. Based
on the hardware capabilities, the software now supports line speeds of up
to 225K bps.

8.  MEDIA & DOCUMENTATION

SCO has standardized on CD-ROM distribution for all products.  Optional
hard-copy documentation is available in three sets:  one including user and
administration guides, one including reference manuals and the other
including manuals already included in the standard packaged product.

9.  LICENSES

Both the SCO OpenServer Host System and the SCO OpenServer Enterprise
System come with a 5-user license. The SCO OpenServer Desktop System and
the SCO OpenServer Internet FastStart System come with a single-user
license. Additional user licenses for the SCO OpenServer Host System and
SCO OpenServer Enterprise System are available in 10-, 25-, 100-, 500-, and
unlimited-user increments.  SCO OpenServer User Licenses are cumulative and
can be added at any time. For example, a user requiring a 30-user SCO
OpenServer Enterprise System would purchase the base system with 5 users,
and then add a 25-user license. If system requirements grew, the user could
then purchase another 10-user license, for a total of 40 users.

The SCO OpenServer Internet FastStart System and the SCO OpenServer Desktop
System do not accept additional user licenses.  To add user licenses, the
installation must be upgraded to the SCO OpenServer Enterprise System.

The SCO OpenServer Release 5.0.4 Development System may be used by as many
users as are licensed for the operating system upon which it is installed.

To take advantage of multithreading found in the core operating system and
networking components, Symmetric Multiprocessing (SMP) license from SCO is
also available for all three server configurations.  Each SMP License from
SCO activates an additional CPU.

Every SCO OpenServer User License now includes an SCO VisionFS Client
License.  This means that a basic five-user SCO OpenServer Enterprise
System enables five SCO VisionFS client attachments, and  a one-user SCO
OpenServer Internet FastStart System one SCO VisionFS Client License.  Note
that since SCO VisionFS requires TCP/IP, this capability is not available
with SCO OpenServer Host System  licenses.  A one-user license for the SCO
Advanced File and Print Server is also included as part of every SCO
OpenServer Enterprise, SCO OpenServer Internet FastStart, and SCO
OpenServer Host system product.

10.  PRODUCTS ADDED AND UPDATED

The following layered products have been added to, or updated on the
standard SCO OpenServer CD-ROM distribution. Additional information about
these products is also included on the CD-ROM.

* SCO Advanced File and Print Server is a native version of Windows NT
networking running on SCO servers. Like SCO VisionFS, SCO Advanced File and
Print Server provides Microsoft compatible distributed File and Print
sharing services. Because of the SCO Advanced File and Print Server
advanced capabilities, for installations where Windows NT-product-style
domain support, more complex wide area network integration, or NetBEUI
support is a requirement, the SCO Advanced File and Print Server provides
the best solution. 

* SCO Doctor Lite is a reduced function version of the SCO Doctor product
which provides an introduction to the full network-capable SCO Doctor
product. SCO Doctor Lite Release 2.0 is useful for monitoring and tuning
the system, and generating various alerts based on system status. SCO
Doctor Lite has been updated to include supplement DR200 and is now
installable during the initial system installation. This product is
licensed at no additional charge for SCO OpenServer product. 

* SCO ARCserve/Open Lite from Cheyenne is a reduced function version of the
full product which allows basic local backup and recovery operations using
the user-friendly SCO ARCserve/Open from Cheyenne administration interface.
SCO ARCserve/Open from Cheyenne Release 2.2 has been enhanced to improve
performance and is now installable during the initial system loading. This
product is licensed at no additional charge for SCO OpenServer product.
 
* French and German localization support has been updated. Also, there is
improved support for multibyte languages and additional locale, keyboard
and font support for Czech Republic, Hungary and Poland.

* A free license for SCO OpenServer Release 5.0.4 will be made available
for personal educational, and non-commercial purposes. SCO Free OpenServer
Release 5.0.4 includes the Netscape FastTrack Server 2.0, Netscape
Navigator Gold 3.0, SCO Internet Manager, the SCO OpenServer Development
System and SCO VisionFS.

* A separate SCO Vision97 CD-ROM with 30-day trial evaluation products for
SCO TermVision, SCO VisionFS, SCO SQL-Retriever, SCO XVision and SCO
SuperVision. SCO VisionFS is also available on the SCO OpenServer
Enterprise System Release 5.0.4 CD-ROM.

* A separate CD-ROM with 60-day trial evaluation product versions of the
SCO Advanced File and Print Server Release 3.5.2, SCO Doctor Release 2.0,
SCO ARCserve/Open from Cheyenne Release 2.2, and the SCO Internet Family
Release 2.0. 

* SCO ToolWare, a separate CD-ROM containing evaluation versions and
information about popular third-party applications and management software.
 
* The Java Development Kit Release 1.1 CD-ROM includes the runtime Java
Virtual Machine, Java Compiler and Java classes. 

11.  OPTIONAL LAYERED PRODUCTS

The following optional layered products are available for use with SCO
OpenServer Release 5, and are included on the standard CD-ROM distribution.
Licenses for these must be purchased separately. Current customers who have
licensed previous versions of these products for SCO OpenServer Release 5
can install the newer versions from the Release 5.0.4 CD-ROM using their
existing licenses and keys.

* SCO Virtual Disk Manager Release 1.1.1
Includes RAID 0,1,5 and disk management software. RAID 0 provides disk
striping for improved performance. RAID 1 provides disk mirroring to
improve reliability as well as performance. RAID 5 provides a
fault-tolerant striping for added performance with improved reliability.
Disk concatenation and hot spares are also supported.

* SCO OpenServer Development System Release 5.0.4
Includes the SCO Optimizing C Compiler Release 2.1.4 which produces
highly-optimized code for 486, Pentium, and Pentium Pro processors. Release
5.0.4 of the SCO OpenServer Development System requires an SCO OpenServer
Release 5.0.4 system.

* SCO Merge Release 3.2.2
Available for running Microsoft Windows and DOS applications with SCO
OpenServer.

* 
SCO Strong Encryption Supplement
The SCO Strong Encryption Supplement is a single-license product that is
only available in the United States and Canada. When installed, the license
activates encryption technology which may not be exported in any form
without prior written authorization from the U.S. Department of State.
 
12.  CONTENTS

The SCO OpenServer Host System, SCO OpenServer Enterprise System, SCO
OpenServer Desktop System, and SCO OpenServer Internet FastStart System
each include a CD-ROM with a 3.5" boot diskette. Also included are
licensing and registration information, the SCO OpenServer Handbook and SCO
OpenServer Release Notes describing how to install, configure, tune and
troubleshoot your SCO OpenServer Release 5 system, and the SCO OpenServer
Internet Services manual providing information on configuring Internet
servers and clients. 

SCO OpenServer User, SCO SMP, SCO Advanced File and Print Server and
Netscape Navigator Licenses include only the license and registration
information. Nothing else is needed to activate the software. No media is
included.

The SCO OpenServer CD-ROM Media/Doc Kit includes the Release 5.0.4 CD-ROM,
3.5" boot diskette, licensing and registration information, SCO OpenServer
Handbook, SCO OpenServer Release Notes, and the SCO OpenServer Internet
Services manual. The CD-ROM includes the SCO OpenServer Host System, the
SCO OpenServer Enterprise System, the SCO OpenServer Desktop System, the
SCO OpenServer Internet FastStart System, and the SCO OpenServer
Development System. Also included on the CD-ROM are the other SCO
OpenServer Layered Products including SCO VisionFS, SCO ARCserve/Open Lite
from Cheyenne Release 2.2, SCO Doctor Lite Release 2.0, and the SCO
Advanced File and Print Server Release 3.5.2. The CD-ROM also includes
support for all User, SCO SMP, SCO VisionFS, SCO Advanced File and Print
Server, and Netscape Navigator Licenses, as well as the SCO Virtual Disk
Manager; each of which needs to be purchased separately.

The SCO OpenServer User and Administration Guides Documentation Package
includes the following titles: Administrator's Guide, Operating System
Tutorial, Operating System User's Guide, Performance Guide, Mail and
Messaging Guide, Networking Guide, PC-Interface Guide, Guide to Gateways
and LAN Servers, and Graphical Environment Guide. These titles are not
available separately, but all documentation is provided on-line and can be
printed in ASCII text for personal use.

The SCO OpenServer Reference Pages Documentation Package includes the
following titles: Operating System User's Reference, Operating System
Administrator's Reference (Volume 1), Operating System Administrator's
Reference (Volume 2), Network Reference, and Graphical Environment
Reference. These titles are not available separately, but all documentation
is provided on-line and can be printed in ASCII text for personal use.

The SCO OpenServer Handbook, Release Notes and Internet Services
Documentation Package includes the following titles: SCO OpenServer
Handbook, SCO OpenServer Release Notes, and SCO OpenServer Internet
Services. Each of these are included in the SCO OpenServer Release 5.0.4
product and media kits, and are made available in this documentation
package for customers wishing to purchase additional copies.

13.  SYSTEM REQUIREMENTS

Software:
SCO OpenServer User Licenses require either the SCO OpenServer Host System
or the SCO OpenServer Enterprise System. User Licenses are not supported on
the SCO OpenServer Desktop System or the SCO OpenServer Internet FastStart
System.

SCO SMP Licenses require either the SCO OpenServer Host System, SCO
OpenServer Enterprise System, or SCO OpenServer Internet FastStart System.

Hardware:
Most standard Intel processor-based single or multiple processor systems
based on 386 (>25MHz), 486, Pentium or Pentium Pro processors and Industry
Standard Architecture (ISA), Extended Industry Standard Architecture
(EISA), Micro Channel Architecture (MCA) or Peripheral Component Interface
Architecture (PCI). (Pentium or Pentium Pro recommended.)

14.  NOTES

1.  All SCO OpenServer Release 5 products (including SCO OpenServer User
Licenses, SCO SMP License, and SCO OpenServer Layered Products) require
registration with an SCO Registration Center. Information regarding the
registration of each product is contained in the SCO Software Registration
booklet, and is also available on-line in the system documentation.

2.  Upgrade licenses to SCO OpenServer Release 5 from the SCO Internet
FastStart System, the SCO UNIX System, SCO Open Desktop, SCO Open Desktop
Lite, the SCO Open Server Network System or the SCO Open Server Enterprise
System require supporting proof of purchase; such as, return of Activation
Key card, or copy of original invoice receipt. No media is provided with
these upgrades licenses; SCO OpenServer 5.0.4 Media/Doc Kits must be
purchased separately as needed. Upgrades to the SCO OpenServer Release
5.0.4 Enterprise System and SCO OpenServer Release 5.0.4 Desktop System
also include an upgrade to single-user SCO Merge Release 3.2.2. Customers
upgrading to SCO OpenServer Release 5.0.4 can upgrade their SCO MPX(tm)
license to SCO SMP by re-using their original SCO MPX Serial Number and
Activation Key.

3.  SCO Software Enhancement Service (SES) customers with SCO OpenServer
maintenance subscriptions will automatically receive copies of the upgrade
to Release 5.0.4 of SCO OpenServer product.

4.  Upgrades to the latest Release 3.2.2 of SCO Merge are also available.
Existing Release 3.2.x customers may upgrade to Release 3.2.2 at no
licensing fee by purchasing the SCO OpenServer Release 5.0.4 Media Kit or
and using their existing Serial Number and Activation Key to install. Users
with any single-user version of SCO Merge may also upgrade to the
multi-user version of Release 3.2.2 as shown below. All SCO Merge upgrades
includes 3.5" media and documentation.

5.  When upgrading to Release 5.0.4 from previous versions of the same SCO
OpenServer product configuration (e.g., to SCO OpenServer Enterprise
Release 5.0.4 from SCO OpenServer Enterprise Release 5.0.2), installed
components that are included as part of the Release 5.0.4 base product will
automatically be updated. For example, SCO OpenServer Desktop Release 5.0.2
on which Netscape Navigator Release 2.0 has been installed will be
automatically upgraded during the system installation process to SCO
OpenServer Desktop Release 5.0.4 with the new integrated Netscape Navigator
Release 3.0. However, layered products included on the SCO OpenServer 5.0.4
CD-ROM, such as SCO Advanced File and Print Services, will not be
automatically upgraded. These products may be manually selected to be
installed during the initial system installation process.

6.  Sixty-day time-restricted SCO OpenServer licenses are available in the
SCO OpenServer Evaluation Pack. Included with either the 5-user SCO
OpenServer Enterprise System or SCO OpenServer Internet FastStart System,
CD-ROM and documentation are evaluation licenses for SCO Merge, SCO VDM,
SCO SMP, SCO Doctor Lite, SCO ARCserve/Open Lite from Cheyenne, SCO
VisionFS and the SCO Advanced File and Print Server.

7.  A demonstration system of SCO OpenServer Release 5.0.4 is available for
use by resellers registered on the SCO Reseller Program. Included with the
5-user SCO OpenServer 5 Enterprise System, CD-ROM and documentation are
demonstration licenses for SCO Merge, SCO VDM, SCO SMP, SCO Doctor Lite,
SCO ARCserve/Open Lite from Cheyenne, SCO VisionFS and the SCO Advanced
File and Print Server.

8.  The single user license for Netscape Navigator Gold 3.0 provided in the
SCO OpenServer 5 Enterprise System provides complete Web browsing, Web
authoring, and Web based administration capabilities for the administrator.
The Netscape Navigator Gold 3.0 User Licenses products allow additional
copies of Netscape Navigator Gold 3.0 to be licensed for additional system
users.
